These Terms and Conditions govern your use of Pknit, a B2B apparel marketplace that connects buyers and suppliers/sellers of apparel products ("b2b"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Definitions

• "Buyer" means a User who purchases or intends to purchase apparel products on the Platform.
• "Supplier" means a User who sells or intends to sell apparel products on the Platform.
• "Product" means any apparel product listed or offered for sale on the Platform.
• "Order" means a request by a Buyer to purchase a Product from a Supplier through the Platform.
• "Services" means the services provided by Pknit, including but not limited to, facilitating online store creation, providing product information, and enabling communication between buyers and sellers.

2. Eligibility

To use the Platform, you must be at least 18 years old, a registered business entity, and have the authority to enter into these Terms on behalf of your business. You must also comply with all applicable laws and regulations.

3. Registration

To use the Platform, you must register and create an account. You must provide accurate, complete, and up-to-date information, and maintain the confidentiality of your account credentials.

4. Roles and Responsibilities

Buyers' Responsibilities:

• Accurately describe product requirements, including but not limited to, product specifications, quantities, and delivery timelines.
• Comply with Supplier instructions, including but not limited to, payment terms, shipping instructions, and product handling requirements.
• Make timely payments for Products purchased through the Platform.

Suppliers' Responsibilities:

• Accurately describe Products, including but not limited to, product descriptions, prices, and images.
• Provide high-quality Products that meet Buyer's specifications and comply with applicable laws and regulations.
• Comply with Buyer instructions, including but not limited to, product customization, packaging, and shipping requirements.

5. Product Listings

Suppliers are responsible for creating and maintaining accurate and complete Product listings, including but not limited to, product descriptions, prices, images and contact details.

6. Orders and Payments

• Order Process: Buyers place Orders through the Platform, and Suppliers confirm or reject Orders.
• Payment Terms: Buyers make payments outside the Platform, and Suppliers receive payments outside the platform. Pknit does not handle any sort of transactions between buyers and sellers. Pknit only enables communication.
• Payment Fees: Currently there are no fees to use the platform.

7. Shipping and Delivery

Shipping Terms:

• Suppliers are responsible for shipping products to Buyers in accordance with the agreed-upon shipping terms and timelines
• Suppliers must provide Buyers with tracking information and updates on the shipment status.

Delivery Terms:

• Delivery times are estimates only and are subject to change.
• Suppliers are not liable for delays or changes in delivery times due to unforeseen circumstances, including but not limited to, logistics issues, weather conditions, or customs clearance delays.
• Buyers are responsible for inspecting products upon delivery and reporting any damage or discrepancies to Suppliers within a reasonable timeframe (typically 24-48 hours).

8. Returns and Refunds

• Return Policy: Buyers may return Products in accordance with the Supplier's return policy.
• Refund Policy: Refunds are processed outside the Platform, and Buyers are responsible for return shipping costs.

9. Intellectual Property

• Ownership: Suppliers retain ownership of their Products and intellectual property.
• License: Suppliers grant buyers a non-exclusive license to sell their Products and intellectual property for marketing and promotional purposes.

10. Warranties and Disclaimers

• Warranty: Suppliers warrant that their Products are authentic, accurately described, and comply with applicable laws.
• Disclaimer: Pknit disclaims all warranties, express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

Pknit is not liable for any damages, including but not limited to, direct, indirect, incidental, special, or consequential damages, arising from the use of the Platform or Products.

12. Termination

Either party may terminate these Terms upon written notice to the other party.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India.

14. Dispute Resolution

Any disputes arising from these Terms will be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between the parties.
• Amendments: Pknit reserves the right to modify these Terms at any time.
• Notices: Notices will be sent to the email address or address on file.

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
